By purchasing, downloading, or using Plainweave Desk ("the Software"), you agree to these Terms of Service ("Terms"). If you do not agree, do not purchase or use the Software. These Terms constitute a legally binding agreement between you ("Customer," "you") and Plainweave ("we," "us," "our").
Upon purchase, we grant you a perpetual, non-exclusive, non-transferable license to:
This license is for one business entity. If you operate multiple separate businesses, each requires its own license. A single business operating from multiple locations is covered by one license.
Your data is yours. All data you enter into Plainweave Desk, including but not limited to client records, invoices, visit logs, financial information, and any other business data, belongs entirely to you. We have no claim to your data and no ability to access it.
Plainweave retains all ownership rights to the Software, including its source code, design, documentation, branding, and any updates or modifications we release. Your license grants you the right to use the Software, not to own its underlying intellectual property.
You may not:
You may make modifications to the Software for your own internal business use.
Your purchase includes free updates for the life of the product. "Updates" means bug fixes, improvements, and new features released as part of the current Plainweave Desk product line. Updates do not include entirely separate or successor products. We will make reasonable efforts to provide updates, but we do not guarantee a specific update schedule or the addition of specific features.
We provide documentation and a getting-started guide with your purchase. Email support is available for setup assistance and troubleshooting. We make reasonable efforts to respond to support requests in a timely manner but do not guarantee specific response times.
Plainweave Desk is sold as a one-time purchase. The price at the time of your purchase is the total amount owed. There are no recurring fees, per-user charges, or hidden costs. Payment is processed at the time of purchase through our third-party payment processor.
Our refund policy is detailed separately at plainweave.io/refund. Please review it before purchasing.
The Software is provided "as is" and "as available," without warranty of any kind, express or implied. We do not warrant that the Software will be error-free, uninterrupted, or fit for any particular purpose. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by applicable law, Plainweave shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Software, regardless of the theory of liability.
Our total liability for any claim arising from or related to these Terms or the Software shall not exceed the amount you paid for the Software.
Because the Software runs on your own hardware and we have no access to your data, you are solely responsible for:
Your license to use the Software continues indefinitely unless terminated. We may terminate your license if you materially breach these Terms (for example, by redistributing the Software). Upon termination, you must stop using the Software and destroy all copies. Termination does not affect your ownership of your data.
These Terms are governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Kentucky.
We may update these Terms from time to time. Updated Terms apply to purchases made after the update date. Your existing license remains subject to the Terms in effect at the time of your purchase. We will notify existing customers of material changes via email.
